These Terms of Use ("Terms") are entered into between you and Vistar Technologies L.L.C-FZ, a company licensed in the Meydan Free Zone, Dubai, United Arab Emirates. By accessing vistartech.ae or engaging Vistar for services, you agree to these Terms.
1. Use of the website
The website is provided for general information about Vistar's services. Content may be updated or removed without notice. You agree not to misuse the site, attempt to gain unauthorized access, introduce malicious code, or interfere with its operation. Any such activity may constitute an offense under UAE Federal Decree-Law No. 34 of 2021 on Combating Rumors and Cybercrimes.
2. Intellectual property
All trademarks, logos, text, graphics, code, and other materials on this website are the property of Vistar Technologies L.L.C-FZ or its licensors and are protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Neighboring Rights and applicable trademark laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
3. Service engagements
Where Vistar provides services to a client, those services are governed by a separate signed proposal, statement of work ("SOW"), or master services agreement ("MSA"). In the event of conflict between these Terms and a signed SOW or MSA, the signed document prevails for that engagement.
4. Quotations and proposals
Quotations issued by Vistar are valid for thirty (30) days unless otherwise stated and are subject to scope confirmation. Engagement commences upon written acceptance of a proposal and receipt of any applicable advance payment.
5. Payment terms
- Invoices are payable in AED or USD as specified in the SOW.
- Unless otherwise agreed, an advance payment (typically 50%) is required before project mobilization.
- Invoices are due within fifteen (15) calendar days of issue. Late payments may incur a service charge of up to 1.5% per month, to the extent permitted by UAE law.
- All fees are exclusive of UAE Value Added Tax (VAT) at the prevailing rate, which will be added where applicable.
6. Refunds and cancellation
No refunds will be issued once a project has commenced. Project commencement is defined as the earlier of: (a) Vistar allocating resources to the engagement, (b) issuance of the kick-off communication, or (c) any deliverable, design, code, document, or environment being prepared on your behalf. Advance payments are non-refundable upon commencement. If you choose to terminate an engagement after commencement, you remain liable for: (i) all work performed up to the termination date, (ii) committed third-party costs, and (iii) any non-cancellable subscriptions or licenses procured for the project. Pre-commencement deposits will be refunded only where Vistar has not yet allocated resources or incurred costs.
7. Client responsibilities
You agree to provide accurate information, timely approvals, access to relevant systems and stakeholders, and any third-party licenses or credentials required for delivery. Delays caused by missing inputs or approvals may shift timelines and may incur additional charges.
8. Confidentiality
Both parties agree to keep confidential information disclosed during the engagement secure and to use it solely for the purpose of the engagement. This obligation survives termination.
9. Warranties and disclaimers
Vistar will perform services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed SOW, the website and all materials are provided "as is" without warranties of any kind, whether express or implied, to the maximum extent permitted by UAE law.
10. Limitation of liability
To the maximum extent permitted by UAE law, Vistar's total aggregate liability arising out of or related to the website or an engagement shall not exceed the fees actually paid by you to Vistar for the specific engagement giving rise to the claim during the three (3) months preceding the event. Vistar shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.
11. Force majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including acts of government, natural disasters, war, civil unrest, internet or utility outages, or pandemics.
12. Governing law and jurisdiction
These Terms and any engagement with Vistar are governed by the federal laws of the United Arab Emirates and the regulations of the Meydan Free Zone, Dubai. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
